D1. About OYY

OYY is a conversational platform for local businesses in India, operated by Large Box Consulting Pvt Ltd (CIN: U74999KA2022PTC162194, registered at 395/15, Vinayaka Layout, Immadihalli Main Road, Whitefield, Bengaluru, Karnataka 560066, India). The brand name is OYY and the domain is tryoyy.com.

OYY gives local businesses — restaurants, salons, stores, and more — AI teammates they can hire and manage through a simple chat. Businesses get a custom chat presence; customers can discover, chat, and transact with them through the OYY network.

By accessing or using OYY (the "Platform"), you confirm you have read, understood, and agree to be bound by these Terms of Service ("Terms") and all policies referenced here, including the Privacy Policy and the Refund & Cancellation Policy. If you use OYY on behalf of an organisation, you warrant you have authority to bind that organisation.

These Terms were last updated on 2026-10-01. Material changes will be communicated through the Platform or by email. Continued use after changes take effect constitutes acceptance.

D2. Eligibility

You must be at least 18 years old to create an account or use the Platform. By registering, you represent that:

  • you are 18 years of age or older;
  • you have the legal capacity to enter into a binding agreement;
  • you are not subject to any prohibition under applicable law in India that would prevent you from using the Platform.

We may require identity verification and reserve the right to refuse or terminate service where eligibility conditions are not met.

D3. Your account

When you create an account, you agree to:

  • provide truthful, accurate, current, and complete information;
  • keep your credentials confidential and not share them with anyone;
  • be solely responsible for all activity carried out under your account;
  • notify us immediately at support@tryoyy.com of any unauthorised access;
  • maintain only one personal account unless we expressly authorise otherwise.

We may suspend or terminate accounts that contain false information, breach these Terms, or pose a risk to other users or the Platform.

D4. Business accounts

Business owners ("Owners") may register a business profile on OYY ("OYY for Business"). By registering a business, you represent that:

  • you are authorised to represent and bind the business entity;
  • the information you provide about the business is accurate and up to date;
  • you will comply with all applicable laws, including the IT Act 2000, consumer protection regulations, and any sector-specific laws relevant to your business.

Business accounts are subject to additional terms set out in the OYY for Business agreement, which governs the subscription plans (Starter ₹19,999/year, Pro ₹5,999/month), AI teammate configuration, and data handling obligations of the Owner.

Owners are solely responsible for the accuracy of their business information, the legality of their products or services, and compliance with applicable local, state, and national regulations. OYY does not vet or endorse any listed business.

D5. OYY assistant

OYY provides AI-powered chat assistants ("OYY Teammates") that businesses can configure to interact with customers. These assistants are built on large language models and are provided for conversational, informational, and transactional support purposes only.

Important limitations:

  • OYY Teammates may produce errors or inaccuracies. Do not rely solely on them for consequential decisions.
  • OYY is not responsible for decisions you make based solely on an AI Teammate's output.
  • OYY Teammates do not constitute professional advice (legal, medical, financial, or otherwise).

Some features may use third-party AI model providers. Outputs from those models are subject to those providers' use restrictions, which we contractually enforce.

D6. Payments & billing

Business subscription fees are billed in Indian Rupees (INR) at the rates displayed at the time of purchase. Payments are processed through third-party providers (UPI, card, net banking). You authorise us to charge the applicable amounts when due.

  • Subscriptions renew automatically unless cancelled before the renewal date.
  • Downgrade / upgrade takes effect at the next billing cycle unless otherwise stated.
  • Refundsare governed by the Refund & Cancellation Policy, which forms part of these Terms.

Consumer rights under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020 are not affected by these Terms.

D7. Intellectual property

The Platform — including software, the OYY brand, trademarks, design elements, text, and their arrangement — is owned by Large Box Consulting Pvt Ltd or its licensors and is protected by applicable intellectual property laws in India.

You are granted a personal, limited, non-transferable, non-sublicensable, and revocable licence to access and use the Platform in accordance with these Terms. No intellectual property rights are transferred to you.

You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant OYY a non-exclusive, royalty-free licence to host, process, and display it solely to operate and improve the Platform. You warrant that you have the right to share such content and that it does not infringe third-party rights.

D8. Prohibited conduct

You agree to use the Platform lawfully and responsibly, in compliance with the Information Technology Act, 2000 and applicable rules. The following are prohibited:

  • providing false or misleading information, or impersonating any person or entity;
  • using the Platform for unlawful, fraudulent, or harmful purposes;
  • uploading malware, viruses, or any code designed to compromise the Platform or users;
  • attempting unauthorised access to accounts, systems, or data;
  • scraping, extracting, or reusing Platform content without written permission;
  • harassing, threatening, or abusing other users or OYY staff;
  • posting content that is defamatory, obscene, or violates third-party rights;
  • interfering with the normal operation or security of the Platform.

Violations may result in immediate account suspension or termination, and may be reported to relevant authorities.

D9. Data & privacy

The collection and use of your personal data is described in our Privacy Policy, which forms an integral part of these Terms. We process personal data in accordance with the Digital Personal Data Protection Act, 2023 (DPDP Act) and the IT Act, 2000.

We act as a Data Fiduciary for end users of the Platform. Businesses using OYY for Business act as Data Fiduciaries for their own customer data, with OYY acting as a Data Processor on their behalf under contract.

D10. Disclaimers

The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, to the maximum extent permitted by applicable law. OYY does not warrant that:

  • the Platform will be uninterrupted, error-free, or secure at all times;
  • AI Teammate outputs will be accurate, complete, or suitable for your purposes;
  • any business listed on OYY has been vetted or verified by us.

Nothing in these Terms excludes rights that cannot lawfully be excluded under the Consumer Protection Act, 2019.

D11. Limitation of liability

To the maximum extent permitted by applicable law, OYY (Large Box Consulting Pvt Ltd) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, arising from your use of or inability to use the Platform.

OYY is not responsible for the acts or omissions of any business listed on the Platform, or for decisions you make based on AI Teammate outputs.

Where liability cannot be excluded by law, our aggregate liability to you for any claim shall not exceed the amount you paid to OYY in the three months preceding the claim.

This limitation does not affect mandatory consumer rights that cannot be excluded under the Consumer Protection Act, 2019.

D12. Termination

You may close your account at any time from account settings or by contacting support@tryoyy.com. Upon closure, your right to use the Platform ceases immediately.

We may suspend or terminate your account, with or without prior notice, if you breach these Terms, pose a risk to the security of the Platform or other users, or if required by law.

Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will remain in force.

D13. Governing law

These Terms are governed by the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India, without prejudice to mandatory consumer rights under the Consumer Protection Act, 2019.
